1. Acceptance of Terms
By accessing or using the KorvAi platform, websites, applications, and services (collectively, the "Service"), operated by RUAA Consulting LLC ("KorvAi," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are not authorized to access or use the Service.
2. Description of Service
KorvAi provides an ecosystem of AI-powered software tools, including but not limited to TeymAi and ParvAi, designed to analyze visual data and provide informational insights. The Service may generate reports, predictions, and analysis based on user-uploaded content. AI OUTPUT DISCLAIMER: ALL INSIGHTS, REPORTS, AND ANALYSIS GENERATED BY THE SERVICE ARE PROVIDED FOR INFORMATIONAL AND DECISION-SUPPORT PURPOSES ONLY. THEY ARE NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE, DIAGNOSIS, INSPECTION, OR SERVICES FROM QUALIFIED ENGINEERS, CONTRACTORS, SECURITY EXPERTS, OR MAINTENANCE PERSONNEL. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY AND SUITABILITY OF ANY OUTPUT AND FOR ANY ACTIONS YOU TAKE BASED ON SUCH OUTPUT.
3. User Accounts and Security
To use certain features, you must register for an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
4. User Content: Licenses and Responsibilities
4.1 Definition: "User Content" means any photos, videos, blueprints, descriptions, device information, or other data you upload to the Service. 4.2 Your Responsibilities: You represent and warrant that you own all rights to your User Content or have obtained all necessary permissions to submit it. You agree not to upload content that is illegal, infringing, or violates anyone's privacy. 4.3 License Grant to KorvAi: By uploading User Content, you grant KorvAi a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, modify, create derivative works from, and analyze your User Content solely for the purposes of: (i) providing, operating, and improving the Service to you; (ii) training, testing, and enhancing our AI models and algorithms. For AI training purposes, User Content will be aggregated and anonymized to remove personal identifiers. 4.4 Feedback: Any feedback or suggestions you provide regarding the Service may be used by KorvAi without obligation to you.
5. Intellectual Property Rights
The Service, including its software, AI models, visual design, features, and all content we provide (excluding your User Content), is the property of KorvAi and its licensors and is protected by intellectual property laws. The KorvAi name, logos, and product names are our trademarks.
6. Payment Terms
If you purchase a subscription or other paid feature, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as stated in our refund policy. We may change prices with reasonable notice.
7. Disclaimer of Warranties & Limitation of Liability
7.1 Service "As Is": THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 7.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORVAI AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON AI-GENERATED OUTPUTS. OUR TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
8. Termination
We may suspend or terminate your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.
9. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute relating to these Terms or the Service will be resolved in the state or federal courts located in [Collin], Texas.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on our website or via email. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
